OFFICIAL RULES

This Sweepstakes is intended for viewing and participation in the fifty (50) United States and Washington D.C. only (excluding Minnesota) and shall be construed and evaluated according to the laws of the fifty (50) United States and Washington D.C. (excluding Minnesota). Please do not enter if you are not a legal resident of, and not located in, the fifty (50) United States or Washington D.C. (excluding Minnesota) at the time of entry. VOID IN MINNESOTA, PUERTO RICO, THE U.S. VIRGIN ISLANDS AND OTHER U.S. TERRITORIES AND POSSESSIONS, AND WHERE PROHIBITED BY LAW.

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING.

THESE OFFICIAL RULES APPLY TO THE SWEEPSTAKES, AND ENTRY INTO THE SWEEPSTAKES IS DEEMED ACCEPTANCE OF THESE OFFICIAL RULES.

SWEEPSTAKES PERIOD:Starts January 20, 2025, at 12:00:00 AM Eastern Time (“ET”) and ends January 31, 2025, at 11:59:59 PM ET (the "Sweepstakes Period").

  1. ELIGIBILITY:

    To enter and be eligible to win a prize, you must meet the following minimum eligibility criteria: (i) be a legal resident of the fifty (50) United States or Washington, D.C. (excluding residents of Minnesota, Puerto Rico, the U.S. Virgin Islands and other U.S. territories and possessions, and where prohibited by law); (ii) have a valid email address; (iii) be at least the age of majority in the jurisdiction from where you enter the Sweepstakes (iv) have an Android device; (v) have a single, valid, active, not suspended or banned Mistplay User account (“Account”) (Note: a single person having multiple Mistplay User Accounts is a violation of Mistplay’s Terms of Use and these Rules); and (vi) consent to be photographed and have your photo and name (first name and last name initial) published to the public if you are a winner. Persons who wish to participate in the Mistplay Accounts and services are subject to and shall comply with the Mistplay Terms of Use available at https://www.mistplay.com/legal/terms-of-use.

    Persons in any of the following categories are NOT eligible to participate or win a prize: (a) any person who, at any time on or after commencement of the Sweepstakes Period, was or is a director, officer, agent, representative, or employee of Mistplay Inc. (“Sponsor”) or its parent, affiliates, subsidiaries, or service agencies, who is directly involved in the planning or execution of the Sweepstakes; (b) any other individuals engaged in the development, production or distribution of materials for the Sweepstakes or engaged in the administration or execution of this Sweepstakes (collectively, with the entities and individuals listed in Rule 1(a), the “Sweepstakes Entities”); (c) persons who are or purport to be immediate family members (defined as biological or step-mother/father, sister, brother, daughter, son, dependent, or spouse of any of the foregoing) of any person in any of the preceding categories, regardless of where they live, or who reside in the same household as any person in any of the preceding categories. Sweepstakes are subject to all applicable federal, state, and local laws and regulations; (d) any person using an Android device operating system of 5.45 or lower; (e) any person who is on a Mistplay version of 5.86.0 or lower; (f) any person who is not the age of majority in the jurisdiction from which they enter the Sweepstakes; and (g) any person who has been disqualified for one or more reasons defined in Rule 7 of these terms.

  2. METHOD OF ENTRY

    • Limitations on Number of Entries: Each Mistplay Account is limited to a total of 30,000 entries, whether obtained by the Unit Redemption Method or the Alternate Method of Entry described below.
    • Unit Redemption Method: Download the Mistplay mobile application (the “App”) to your Android device and follow the tutorial to create an Account (if you do not already have one) or log-in to your Account. Creating and maintaining an Account is free of charge. (Note: Please ensure that your email address is added to your Mistplay Account prior to participating. Failure to do so may lead to disqualification). 

      In the “Shop” section of the App, Account holders may redeem loyalty points referred to as units (“Units”) for entries into the Sweepstakes draw (each an “Entry”) during the Sweepstakes Period as follows:

Your Unit balance is available upon entry into the App. To see your previous Sweepstakes Entry redemptions, please select the Shop button on the App's main page. Once entered into the Shop App page, please select “My Rewards,” which shows the number of Entries an Account has redeemed and the number of Units used for each Entry. Successful Entries will have the “Approved” status listed within the “My Rewards” page.

    • Alternate Method of Entry (Mail-In Method): If you have a current, active, Mistplay Account, and are otherwise eligible to participate in this sweepstakes, you may request entry by mail (without the need to redeem units for an entry). To enter without using your Mistplay Units, purchase and/or earn or redeem Units, and download the Mistplay App (free of charge) to your Android device, please follow these instructions. Please ensure that your email address is added to your Account prior to participating. Failure to do so may lead to disqualification. Then, on a 3" x 5" card or piece of paper, hand-print your full name, complete address, phone number (with area code), age, the email address associated with your Mistplay Account, and mail it to:

      Use of this alternative method of entry is subject to the following additional limitations: (i) each mail-in request must contain all required information, (ii) the email address provided on the mail-in request must be associated with an Account (Please ensure that your email address is added to your Account prior to submitting your request. Failure to do so may lead to rejection of your request for entry), (iii) requests submitted by mail must be mailed from the United States and post-marked, for each card received, you will receive 20 Entries into the Sweepstakes draw. Requests must be postmarked during the Sweepstakes Period (no later than by January 31, 2025) and received by February 7, 2025, (iv) you must otherwise meet the eligibility criteria discussed above, including, but not limited to, residency requirements. Assuming all requirements have been met, for each card/request received you will receive 20 entries to the sweepstakes draw, subject to the limitation on total number of entries as specified in Section 2.

  3. RANDOM SWEEPSTAKES DRAW TO SELECT WINNERS:

    On February 12, 2025, at approximately 2:00 PM ET, an independent judging organization (the “Sweepstakes Judges”) will randomly draw four (4) entries for the Sweepstakes Prizes (See Rule #4 for prize details) (each a “Potential Winner” and, if verified, “Winner”) from among all eligible entries received. The odds of winning a prize depend on the total number of eligible entries received during the Sweepstakes Period. Potential Winners will be subject to verification of eligibility and compliance with these Official Rules.

  4. SWEEPSTAKES PRIZES (4):

    Each Prize Winner will receive the following prize:

    One (1) Samsung Galaxy Z Flip 6 (Black) (256GB storage)*

    Approximate retail value (“ARV”) of each Sweepstakes Prize: USD $1,099.99

    *The Winner is solely responsible for all costs and expenses associated with prize use, including any cellular or data plan, which is the Winner’s responsibility to obtain.

    Total ARV of all Sweepstakes Prizes available to be won USD: $4,399.96

    Prizes are not transferable and must be accepted as awarded, with no substitutions of any kind, except by the Sponsor, who reserves the right to substitute a prize (or portion thereof) with one of comparable or greater value, at its sole discretion.

    All federal, state, and local taxes (including income and withholding taxes), if any, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided, is each Winner’s responsibility, regardless of whether a prize is used in whole or in part. All prize details are at the Sponsor’s sole discretion.

  5. HOW TO CLAIM YOUR PRIZE:

    • Potential Winners will be contacted by email to the email address associated with their Account, with instructions on how to claim the prize. Potential Winners will be required to execute and return an Affidavit of Eligibility, a Liability Release, a W9 form, and where lawful, a publicity release, within five (5) business days from the time it is postmarked as having been sent by the Sponsor or its representative, or the prize will be forfeited and, at the Sponsor’s sole discretion, the prize may be awarded to an alternate winner.
    • If a Potential Winner is found to be ineligible or not in compliance with these Official Rules, declines to accept the prize, or the Sponsor is unable to contact a Potential Winner within three (3) business days, or in the event that a prize notification or prize is returned undeliverable, the prize will be forfeited and, at the Sponsor’s sole discretion, prize may be awarded to an alternate Potential Winner. Sponsor may select up to three (3) alternate prize winners for each prize; thereafter, if a potential prize winner cannot be verified in accordance with these Official Rules, the prize will not be awarded. Potential Winners may be required to furnish proof of identification.
    • In the event of a dispute regarding the identity of an entrant, the Entry will be deemed to have been made by the authorized account holder of the email address associated with the Mistplay Account. An authorized account holder is the natural person who created and has an active Mistplay account by the Sponsor. Potential winners may be required to show proof of being the authorized account holder or other proof of identity, as applicable.
    • Allow between four (4) to six (6) weeks for verification and shipment of your prize. The Sweepstakes Entities shall not be held responsible for any delays in awarding a prize for any reason outside of their control. Prizes will only be delivered to verified Winners. Any unclaimed prize will not be awarded. The Sweepstakes Entities are not responsible for any change of mailing address, email address, and/or telephone number of entrants that prevents Sponsor from being able to contact entrants.
    • By accepting a prize, each Winner agrees and consents to the use of his/her name, address (city and state of residence), voice, and statements relating to the Sweepstakes or Sponsor, and photographs or other likenesses, without further compensation, notification or permission in any publicity or advertising carried out by Sponsor or any related entities in any and all media now known or hereinafter developed, including the internet, without territorial or time limitation, except where prohibited by law.

  6. CONDITIONS OF ENTRY: By entering, entrants (i) acknowledge and represent that they are in full compliance with these Official Rules, including all eligibility requirements, and (ii) agree to be bound by these Official Rules and the decisions of the Sponsor and/or Sweepstakes Judges, made in their sole discretion, which shall be final and binding in all respects. Entrants who have not complied with these Official Rules are subject to disqualification and all associated entries will be void.

  7. DISQUALIFICATION AND VOID ENTRIES: Sponsor reserves the right to disqualify any entrant’s registration in the Sweepstakes (and void all associated entries) or entitlement to a prize if, in the sole discretion of the Sweepstakes Entities, it determines or suspects that: (i) the entrant has attempted to undermine the legitimate operation of the Sweepstakes by tampering, cheating, hacking, deception, or other fraudulent, deceptive or unfair playing practices (including any entries generated by script, macro, robotic, programmed, or any other automated means or any other means which subvert the entry process); (ii) a single person is seeking entries using multiple Mistplay Accounts, email addresses, or identities; (iii) entrant is using an automated system to participate, or (iv) entrant is using any other methods to defraud the Sweepstakes. Automated Entries or the use of automated tools are strictly prohibited.

  8. RELEASE: As a condition of entering, entrants agree (and agree to confirm in writing): (a) to release Sponsor and Sweepstakes Entities and each of their officers, directors, employees and agents, from any and all liability, loss or damage incurred with respect to participating in the Sweepstakes, or the awarding, receipt, possession, and/or use or misuse of any prize or any travel or activity related thereto; (b) that under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, and in no event will entrants be entitled to receive attorneys’ fees and court costs.

  9. LOST, DAMAGED, OR INCOMPLETE SUBMISSIONS: Entrants further agree that the Sweepstakes Entities are not responsible for late, lost, damaged, stolen, misdirected, mutilated, garbled, illegible, or incomplete submissions of requests/entries. Proof of transmission (screenshots or captures, etc.) does not constitute proof of delivery. All entries become the property of the Sponsor and in no case shall be returned to sender.

  10. MODIFICATION OR CANCELLATION OF THE SWEEPSTAKES: Sponsor reserves the right in its sole discretion to cancel, modify and/or suspend this Sweepstakes at any time if fraud, technical failures, including any network server or hardware failure, viruses, bugs, errors in programming, or any other errors or other causes (such as force majeure events) impairs the administration, security, integrity or proper play of the Sweepstakes. In the event of cancellation, the Sponsor reserves the right, in its sole discretion, to randomly select the Winners from among all eligible, non-suspect entries received up to the time of such cancellation. The Sponsor will not be liable for more than the stated number of prizes available in the prize category in question in these Official Rules.

  11. ACCESS TO THE SWEEPSTAKES: The Sweepstakes Entities do not warrant that access to the Sweepstakes will be uninterrupted. The Sweepstakes Entities are not responsible for any problems that may arise, including but not limited to: (a) lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, websites, or other connection, availability or accessibility problems arising in connection with or over the course of the Sweepstakes; or (b) communications failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions or hardware or software malfunctions, failures or difficulties; or (c) failure of personal computers and/or software and hardware configurations, any technical malfunctions, failures, or difficulties, printing errors, clerical, typographical or other error in connection with the administration of the Sweepstakes, the processing of entries, or the offering or announcement of any prize or in any winner notification documents; or (d) for any other errors of any kind relating to or in connection with the Sweepstakes, whether human, mechanical, clerical, electronic, or technical in nature; or (e) the incorrect or inaccurate capture of information, or the failure to capture any information in connection with the Sweepstakes; or (f) damage to a user's system occasioned by participation in this Sweepstakes or downloading any information necessary to participate in this Sweepstakes. The Sweepstakes Entities are also not responsible for lost, late, delayed, garbled, stolen, incomplete, misdirected, illegible, damaged or undelivered mail, email, or entries. Proof of transmission (screenshots, etc.) does not constitute proof of delivery.

  12. GOVERNING LAW: The construction, validity, interpretation, and enforceability of the Sweepstakes Official Rules, rights, obligations of the entrant and Sponsor shall be governed by, and construed in accordance with the laws of the State of New York, U.S.A., without regard to New York or any other conflicts of law principles. This Sweepstakes is subject to all applicable federal, state, and municipal laws.

  13. FRAUDLENT BEHAVIOUR: Any attempt by an entrant or other individual to deliberately damage any website or undermine the legitimate operation of this Sweepstakes, including but not limited to any fraudulent claims, may violate criminal and civil laws. Should such an attempt be made, the Sponsor reserves the right to seek remedies and damages (including attorneys’ fees) from any such individual to the fullest extent permitted by law, including criminal prosecution. Entrants engaging in any of the foregoing activities may be disqualified (and all associated entries will be void), will forfeit any prize won, and may be blocked, temporarily and indefinitely, from using the App. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

  14. CONFLICT BETWEEN THE SWEEPSTAKES AND OFFICIAL RULES: In the event of any conflict with any Sweepstakes details contained in these Official Rules and Sweepstakes details contained in Sweepstakes Materials (including but not limited to point of sale, television, and print advertising, promotional packaging, and other promotion media), the details of the Sweepstakes as outlined in these Official Rules shall prevail.

  15. ENTIRE AGREEMENT, INVALIDITY, AND ENFORCEABILITY: The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. If any provision is invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In particular, Sponsor's employees are not authorized to waive, modify or amend any provision or provisions of these Official Rules in any manner whatsoever.

  16. SPONSOR: This Sweepstakes is solely sponsored by Mistplay Inc., 1001 Blvd Robert-Bourassa, Suite 200, Montréal, QC H3B 0A7.

  17. WINNER LIST: The winners list for the Sweepstakes will be posted online after the prizes have been awarded.

  18. PROCESSING OF DATA AND USE OF TRACKING TECHNOLOGY: Information collected from entrants is subject to Sponsor’s Privacy Policy. To review Sponsor’s privacy policy, please visit https://www.mistplay.com/legal/privacy to see how we use personal information obtained in connection with this Sweepstakes. Winners’ names may be included in a publicly available winners list.
